Tata Sons AGM adjourned for first time over lack of quorum

The 108th AGM began at 2:30 pm as scheduled but was adjourned around 30 minutes later. The absence of a joint representative of the Sir Dorabji Tata Trust and Sir Ratan Tata Trust meant the meeting could not meet the quorum requirement.Tata Sons’ annual general meeting (AGM) was adjourned on Tuesday after the company failed to meet the required quorum, marking the first such instance in the group’s history, reported Moneycontrol.The 108th AGM began at 2:30 pm as scheduled but was adjourned around 30 minutes later. The absence of a joint representative of the Sir Dorabji Tata Trust and Sir Ratan Tata Trust meant the meeting could not meet the quorum requirement.The two trusts together hold around 51.5% of Tata Sons.The two largest Tata Trusts were unable to jointly nominate a representative for the AGM because the Maharashtra Charity Commissioner has imposed restrictions on meetings of the Sir Ratan Tata Trust. As a result, the required joint representation from the two trusts was not available at the meeting.A source familiar with Tata Sons said the company’s board is expected to meet later to decide when the AGM can be held again.CHANDRASEKARAN ATTENDS, NOEL TATA JOINS VIRTUALLY Outgoing Tata Sons chairman Natarajan Chandrasekaran was present at Bombay House for the meeting.Board members Saurabh Agarwal and Anita Marangoly George were also present in person. Several other members joined the AGM virtually. These included Noel Tata, chairman of Tata Trusts, as well as Harish Manwani and Venu Srinivasan.The AGM was adjourned after the quorum issue could not be resolved.MEHLI MISTRY ALSO JOINS VIRTUALLYFormer Tata Group insider Mehli Mistry also attended the meeting virtually. Mistry, whose appointment to several Tata Trusts was voted down, joined the AGM in his capacity as executor of the late Ratan Tata’s Will.His presence comes amid continuing developments around the Tata Trusts and their relationship with Tata Sons.WHAT HAPPENS NEXT?With the AGM unable to proceed, Tata Sons will now need to decide on a fresh date for the meeting.The adjournment comes at a significant time for the group, with Chandrasekaran set to step down as Tata Sons chairman.
