(“Gran Tierra” or the “Company”) (NYSE American:GTE) (TSX:GTE) (LSE:GTE) today announced that its stockholders have approved the previously announced sale of Gran Tierra’s Colombian and Ecuadorian businesses to Maurel & Prom for total consideration of approximately US$1.33 billion, including the assumption of debt and subject to adjustment (the “Sale”). The vote took place at the Company’s special meeting of stockholders held on October 9, 2026 (the “Special Meeting”). The Sale is to be effected pursuant to the Share Sale and Purchase Agreement entered into on August 5, 2026 (the “Share Purchase Agreement”).
